服務條款 Terms of Service

歡迎使用 ZZAZZ！本服務條款（以下簡稱「本條款」）由滋滋滋滋股份有限公司（以下簡稱「本公司」）訂定，規範您使用 ZZAZZ 應用程式及相關服務（以下合稱「本服務」）之權利義務。請於使用本服務前詳細閱讀本條款。

一、條款之接受與適用 (Acceptance of Terms)

1. 當您註冊、登入或以任何方式使用本服務時，即表示您已閱讀、理解並同意接受本條款之全部內容。

2. 若您不同意本條款之任何內容，請勿註冊或使用本服務。

3. 本條款構成您與本公司間具法律拘束力之協議。您的個人資料處理方式，請另行參閱本公司之《隱私權政策》與《用戶資料刪除指引與政策》。

二、服務內容 (Description of Service)

本服務為短影音創作學習與輔助工具，內容包括但不限於：

​

1. 引導式創作旅程：主題式的分鏡腳本引導與拍攝提示。

2. 腳本引導工具：協助您規劃、整理拍攝素材與腳本；完成後您可下載結構化腳本，依腳本自行完成剪輯。本服務不提供自動剪輯功能。

3. AI 寫作輔助：由 AI 助教（Fuffy）提供文案提示、建議與回饋。

4. 微課程與練習關卡：短影音實戰課程、測驗與練習題。

本公司保留隨時新增、調整或停止部分服務內容之權利，重大變更將以 App 內通知或其他適當方式告知。

三、帳號註冊與安全 (Account Registration and Security)
 

1. 本服務採用 Instagram 帳號註冊與登入。您須擁有有效之 Instagram 帳號並授權本服務存取，方能使用本服務。

2. 您應確保所提供之資料真實、正確且為最新；您不得冒用他人 Instagram 帳號註冊或登入。

3. 您有義務妥善保管您的裝置與 Instagram 帳號憑證。凡透過您的帳號所為之行為，均視為您本人之行為。

4. 若您發現帳號遭未經授權之使用，請立即透過第十六條之聯絡方式通知本公司。
 

四、使用資格 (Eligibility)

1. 您須年滿 13 歲且符合 Instagram 服務條款之使用資格，方得使用本服務。

2. 若您為未滿 18 歲之限制行為能力人，應由您的法定代理人（如父母或監護人）閱讀、理解並同意本條款後，方得使用本服務。

五、虛擬物品：經驗值與鑰匙 (Virtual Items: XP and Keys)

1. 本服務內之經驗值（Fire 🔥）、鑰匙（Keys 🔑）、等級及其他虛擬物品，僅供本服務內使用體驗之用。

2. 上述虛擬物品不具現金價值，不得兌換為現金或其他財物，亦不得轉讓、出售或轉移予其他帳號。

3. 帳號刪除後，虛擬物品將一併失效且無法補發，詳見《用戶資料刪除指引與政策》。

4. 本公司得基於營運需要調整虛擬物品之取得方式、回復速率與使用規則，重大調整將事先公告。

六、付費服務與退款 (Paid Services and Refunds)

1. 本服務之部分內容（如進階旅程、課程或工具包）須付費解鎖。

2. 透過 Apple App Store 或 Google Play 完成之購買，其付款、收據與退款均依各該平台之政策辦理；退款申請請逕向該平台提出。

3. 已解鎖之付費內容綁定您的帳號，帳號刪除後即失效且無法補發或退費。

4. 各項付費內容之價格與內容以購買當下 App 內顯示為準；本公司調整價格不溯及已完成之交易。

七、使用者內容與授權 (User Content and License)

1. 您於本服務內建立之腳本、文案、照片、影片等內容（以下簡稱「使用者內容」），其智慧財產權仍歸您所有。

2. 為提供本服務（包括儲存、備份、顯示與功能改善），您授予本公司一項非專屬、全球性、免權利金之授權，於本服務營運所必要之範圍內使用您的使用者內容。此授權於您刪除該內容或刪除帳號後終止（法定保留義務除外）。

3. 您聲明並保證您的使用者內容未侵害任何第三人之智慧財產權、肖像權、隱私權或其他權利。因您的內容所生之爭議與責任，由您自行負責。

4. 本公司不會將您的使用者內容用於本服務營運目的以外之用途；如需另行使用（例如行銷宣傳），將事先取得您的同意。

八、AI 功能與內容 (AI Features and Content)

1. 本服務之寫作提示、文案建議與回饋由 AI 技術產生，僅供創作參考，不保證其正確性、完整性或適用性。

2. 您採用 AI 建議所產出之最終內容，仍由您自行審酌並負責；於社群平台發布前，請自行確認內容之合法性與妥適性。

3. 您不得利用 AI 功能產生違法、侵權、不實或有害之內容。

九、禁止行為 (Prohibited Conduct)

您使用本服務時，不得有下列行為：

1. 違反任何適用法令，或侵害他人權利。

2. 上傳、發布違法、誹謗、猥褻、仇恨、騷擾或其他不當內容。

3. 冒用他人身分、提供虛偽資料，或未經授權使用他人帳號。

4. 以爬蟲、機器人、逆向工程或其他自動化方式存取、干擾或破壞本服務。

5. 規避本服務之技術限制（包括鑰匙能量機制、付費解鎖機制）。

6. 將本服務用於任何商業轉售或未經本公司書面同意之商業目的。

違反上述規定者，本公司得視情節暫停或終止您的帳號，並保留法律追訴之權利。

​

十、智慧財產權 (Intellectual Property)

1. 本服務之軟體、介面設計、Fuffy 角色形象、課程內容、腳本模板、商標與其他內容，其智慧財產權均屬本公司或其授權人所有。

2. 除本條款明示授權或法律允許之範圍外，您不得重製、改作、散布、公開傳輸或以其他方式利用上述內容。

3. 您透過本服務下載之腳本，得用於您個人之影片創作；但不得將課程內容、腳本模板本身轉售或再散布。

十一、第三方服務 (Third-Party Services)

1. 本服務與 Instagram（Meta 平台）整合。您使用 Instagram 登入及相關功能時，同時受 Meta 之服務條款與隱私政策拘束。

2. 本公司對第三方平台之服務中斷、政策變更或資料處理行為不負擔保責任。若 Instagram 授權失效或遭移除，部分或全部服務功能可能無法使用。

十二、服務變更、中止與帳號終止 (Modification, Suspension, and Termination)

1. 本公司得因系統維護、更新或不可抗力事由暫停或中斷本服務，並將盡可能事先公告。

2. 您得隨時停止使用本服務，並依《用戶資料刪除指引與政策》申請刪除帳號（含 30 天冷靜期機制）。

3. 若您違反本條款，本公司得暫停或終止您的帳號；情節重大者，得不經通知逕行終止。

4. 本公司若決定終止全部服務，將於合理期間前公告，並依《隱私權政策》處理您的個人資料。

十三、免責聲明與責任限制 (Disclaimer and Limitation of Liability)

1. 本服務依「現狀」及「現有」基礎提供。本公司不保證本服務不中斷、無錯誤，亦不保證使用本服務可達成特定之創作成果、流量或收益。
2. 於法律允許之最大範圍內，本公司對於因使用或無法使用本服務所生之間接、附隨、衍生性損害不負賠償責任。

3. 於法律允許之最大範圍內，本公司之總賠償責任以您於請求發生前十二個月內實際支付予本公司之費用總額為上限。

4. 本條款之任何約定，均不排除或限制依法不得排除或限制之責任（如故意或重大過失責任），亦不影響您依消費者保護法等強行法規所享有之權利。

十四、條款修改與通知 (Changes to These Terms)

1. 本公司得隨時修改本條款。修改後之條款將公告於本頁面，重大變更並將以 App 內通知或電子郵件告知。

2. 修改後，您繼續使用本服務即視為同意修改後之條款；若不同意，請停止使用本服務並得申請刪除帳號。

十五、準據法與管轄 (Governing Law and Jurisdiction)

1. 本條款之解釋與適用，以中華民國法律為準據法。

2. 因本條款所生之爭議，雙方同意以本公司所在地之地方法院為第一審管轄法院。但法律有專屬管轄或消費者保護法另有規定者，從其規定。

Welcome to ZZAZZ! These Terms of Service ("Terms") are established by ZZAZZ COMPANY ("the Company") and govern your use of the ZZAZZ application and related services (collectively, "the Service"). Please read these Terms carefully before using the Service. In case of any discrepancy between the Chinese and English versions, the Chinese version shall prevail.

1. Acceptance of Terms

  1. By registering for, logging in to, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms in full.

  2. If you do not agree to any part of these Terms, please do not register for or use the Service.

  3. These Terms constitute a legally binding agreement between you and the Company. For how your personal data is handled, please refer to our Privacy Policy and User Data Deletion Instructions.
     

2. Description of Service

The Service is a learning and assistance tool for short-form video creation, including but not limited to:

  1. Guided creator journeys: Themed storyboard guidance and shooting prompts.

  2. Script guidance tools: Help you plan and organize footage and scripts; upon completion you may download a structured script and edit your video yourself based on the script. The Service does not provide automatic video editing.

  3. AI writing assistance: Copywriting prompts, suggestions, and feedback provided by our AI companion (Fuffy).

  4. Micro-courses and practice levels: Practical short-form video lessons, quizzes, and exercises.


The Company reserves the right to add, adjust, or discontinue parts of the Service at any time. Material changes will be announced via in-app notice or other appropriate means.
 

3. Account Registration and Security

  1. The Service uses Instagram account registration and login. You must have a valid Instagram account and authorize the Service to access it in order to use the Service.

  2. You must ensure that the information you provide is true, accurate, and up to date. You may not register or log in using another person's Instagram account.

  3. You are responsible for safeguarding your device and Instagram credentials. All activity conducted through your account is deemed to be your own.

  4. If you discover any unauthorized use of your account, please notify the Company immediately via the contact information in Section 16.


4. Eligibility

  1. You must be at least 13 years old and eligible to use Instagram under its terms of service in order to use the Service.

  2. If you are under 18 years of age, you may use the Service only after your legal representative (such as a parent or guardian) has read, understood, and agreed to these Terms.
     

5. Virtual Items: XP and Keys

  1. XP (Fire 🔥), Keys (🔑), levels, and other virtual items within the Service are provided solely for your in-service experience.

  2. Virtual items have no cash value, may not be exchanged for cash or other property, and may not be transferred, sold, or moved to another account.

  3. Upon account deletion, all virtual items are forfeited and cannot be reissued. See the User Data Deletion Instructions for details.

  4. The Company may adjust how virtual items are earned, how they regenerate, and how they may be used for operational reasons. Material changes will be announced in advance.
     

6. Paid Services and Refunds

  1. Certain content in the Service (such as advanced journeys, courses, or toolkits) requires payment to unlock.

  2. Purchases made through the Apple App Store or Google Play are subject to the respective platform's payment, receipt, and refund policies. Please submit refund requests directly to the relevant platform.

  3. Unlocked paid content is tied to your account and becomes invalid upon account deletion; it cannot be reissued or refunded.

  4. Prices and content of paid items are as displayed in the app at the time of purchase. Price adjustments do not apply retroactively to completed transactions.
     

7. User Content and License

  1. You retain all intellectual property rights in the scripts, copy, photos, videos, and other content you create within the Service ("User Content").

  2. To provide the Service (including storage, backup, display, and feature improvement), you grant the Company a non-exclusive, worldwide, royalty-free license to use your User Content to the extent necessary to operate the Service. This license ends when you delete the content or your account (except where retention is required by law).

  3. You represent and warrant that your User Content does not infringe any third party's intellectual property, likeness, privacy, or other rights. You are solely responsible for any disputes and liabilities arising from your content.

  4. The Company will not use your User Content for purposes other than operating the Service. Any additional use (such as marketing) will require your prior consent.
     

8. AI Features and Content

  1. Writing prompts, copy suggestions, and feedback in the Service are generated by AI technology and are for creative reference only. No guarantee is made as to their accuracy, completeness, or suitability.

  2. You are responsible for reviewing and approving any final content you produce based on AI suggestions. Please verify the legality and appropriateness of content before publishing it on social platforms.

  3. You may not use AI features to generate unlawful, infringing, false, or harmful content.
     

9. Prohibited Conduct

When using the Service, you may not:

  1. Violate any applicable law or infringe the rights of others.

  2. Upload or publish unlawful, defamatory, obscene, hateful, harassing, or otherwise inappropriate content.

  3. Impersonate others, provide false information, or use another person's account without authorization.

  4. Access, interfere with, or damage the Service through crawlers, bots, reverse engineering, or other automated means.

  5. Circumvent the Service's technical limitations (including the Keys energy system and paid unlock mechanisms).

  6. Use the Service for commercial resale or any commercial purpose without the Company's prior written consent.
     

The Company may suspend or terminate your account for violations of the above, and reserves the right to pursue legal action.
 

10. Intellectual Property

  1. All intellectual property rights in the Service's software, interface design, the Fuffy character, course content, script templates, trademarks, and other content belong to the Company or its licensors.

  2. Except as expressly permitted by these Terms or by law, you may not reproduce, adapt, distribute, publicly transmit, or otherwise exploit such content.

  3. Scripts you download through the Service may be used for your personal video creation, but course content and script templates themselves may not be resold or redistributed.
     

11. Third-Party Services

  1. The Service integrates with Instagram (the Meta platform). When you use Instagram login and related features, you are also bound by Meta's terms of service and privacy policy.

  2. The Company makes no warranty regarding third-party platform outages, policy changes, or data practices. If your Instagram authorization expires or is removed, some or all features of the Service may become unavailable.
     

12. Modification, Suspension, and Termination

  1. The Company may suspend or interrupt the Service for maintenance, updates, or force majeure, and will announce such events in advance where possible.

  2. You may stop using the Service at any time and request account deletion in accordance with the User Data Deletion Instructions (including the 30-day grace period).

  3. If you violate these Terms, the Company may suspend or terminate your account; in serious cases, termination may occur without prior notice.

  4. If the Company decides to discontinue the Service entirely, it will announce this within a reasonable period in advance and handle your personal data in accordance with the Privacy Policy.
     

13. Disclaimer and Limitation of Liability

  1. The Service is provided on an "as is" and "as available" basis. The Company does not warrant that the Service will be uninterrupted or error-free, nor that use of the Service will achieve any particular creative outcome, traffic, or revenue.

  2. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of or inability to use the Service.

  3. To the maximum extent permitted by law, the Company's total liability shall not exceed the total fees you actually paid to the Company in the twelve months preceding the claim.

  4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as liability for intentional misconduct or gross negligence), nor does it affect your rights under mandatory consumer protection laws.
     

14. Changes to These Terms

  1. The Company may amend these Terms at any time. Amended Terms will be posted on this page, and material changes will be communicated via in-app notice or email.

  2. Your continued use of the Service after an amendment constitutes acceptance of the amended Terms. If you do not agree, please stop using the Service; you may also request account deletion.
     

15. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of the Republic of China (Taiwan).

  2. Any dispute arising from these Terms shall be subject to the jurisdiction of the district court where the Company is located as the court of first instance, except where exclusive jurisdiction or consumer protection laws provide otherwise.
